Registration
ClairAlpha Advisors LLC is a registered investment adviser with the U.S. Securities and Exchange Commission (“SEC”). Registration as an investment adviser does not imply a certain level of skill or training. ClairAlpha Advisors LLC is a wholly-owned subsidiary of ClairFi Technologies Inc., a Delaware corporation that owns and operates the technology platform through which ClairAlpha Advisors LLC delivers certain services to clients.
Conflicts of Interest
ClairAlpha Advisors LLC has material conflicts of interest arising from its relationship with its parent company, ClairFi Technologies Inc., that you should be aware of before engaging advisory services. Specifically: (i) ClairAlpha Advisors LLC uses technology infrastructure and platform services provided by ClairFi Technologies Inc. and pays fees to ClairFi Technologies Inc. for those services, meaning ClairFi Technologies Inc. has a direct financial interest in client and partner activity flowing through the ClairFi platform; (ii) ClairFi Technologies Inc. has a partnership arrangement with Trinity Tax Strategies LLC, a licensed tax services firm that may be introduced to clients through the platform, under which Trinity Tax Strategies LLC pays technology and infrastructure fees to ClairFi Technologies Inc. These arrangements create an incentive that could influence the design of the platform and the services made available through it. ClairAlpha Advisors LLC manages these conflicts through full written disclosure and by maintaining its independent fiduciary obligation to advisory clients under the Investment Advisers Act of 1940. Advisory Services
Investment advisory services are provided by ClairAlpha Advisors LLC only pursuant to a separate written investment advisory agreement between the client and ClairAlpha Advisors LLC. This website is intended for informational and educational purposes only and does not constitute investment advice, a solicitation, or an offer to buy or sell any security. Technology platform infrastructure and distribution services are provided separately by ClairFi Technologies Inc. and are not advisory services.
Partner Firms
CPA and advisory firms that access private investment opportunities through the ClairAlpha platform do so on a referral basis. ClairAlpha Advisors LLC holds the investment adviser registration and manages the advisory relationship with clients who elect investment advisory services. Whether a particular firm’s activities require investment adviser registration under federal or applicable state law depends on the specific facts of their engagement. Each partner firm is solely responsible for determining its own licensing obligations and is strongly encouraged to consult qualified legal counsel before commencing any referral activity. ClairAlpha Advisors LLC does not provide legal advice to partner firms.
Private Placements
Certain investment offerings accessible through this platform are offered pursuant to Regulation D, Rule 506(b) or Rule 506(c) of the Securities Act of 1933, as amended. Rule 506(b) offerings may not be made through general solicitation or general advertising. ClairAlpha’s platform is structured to facilitate introductions between sponsors and investors through pre-existing substantive relationships with qualified participants, consistent with SEC guidance on general solicitation. All investor participants complete a qualification and onboarding process prior to receiving any offering materials. Sponsors listing offerings on ClairAlpha are solely responsible for ensuring their own compliance with all applicable securities laws, including the no-general-solicitation requirement.
